These Terms and Conditions ("Terms") govern your access to and use of our website, software, AI optimization services, and any related documentation (collectively, the "Services"). By using our Services, you agree to be bound by these Terms. If you disagree, please do not use our Services.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. By using our Services, you represent that you meet these requirements. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

Certain features require account registration. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your login credentials and for all activities under your account. Notify us immediately of any unauthorized use.

3. Our Services: AI Optimization

AK8 AI provides advanced AI model optimization, MLOps consulting, inference acceleration, and related services. We may adjust, improve, or discontinue features at our discretion, but will provide reasonable notice for material changes affecting paying customers.

4. Use of Services & Restrictions

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of our platform or optimization algorithms.
• Use the Services to infringe intellectual property rights, harass others, or transmit malicious code.
• Exceed your authorized usage limits (e.g., API calls, compute hours) without purchasing additional capacity.
• Share your account credentials with unauthorized parties.

5. Intellectual Property Rights

All intellectual property in the Services — including software, algorithms, UI, documentation, logos, and trademarks — is owned by AK8 AI or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. You retain ownership of any input data and model weights you provide, and we retain ownership of any optimizations, aggregated statistics, or improvements we develop (excluding your Confidential Information).

6. Customer Data & Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal data. By using the Services, you consent to such practices. You represent that you have all necessary rights to provide any data you upload or process via our Services.

7. Fees & Payment

Some Services are offered on a subscription or usage‑based fee basis. Fees are described at the time of purchase and may be updated with 30 days' notice. Payments are non‑refundable except as required by law or as expressly stated in a separate agreement. Late payments may incur interest and suspension of Services.

8. Cancellation & Termination

You may cancel your account at any time via your dashboard or by contacting support. We may suspend or terminate your access for violation of these Terms, non‑payment, or any activity that harms our platform or other users. Upon termination, you must cease using the Services, and we will delete your data as described in our Privacy Policy.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, AK8 AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR‑FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AK8 AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless AK8 AI and its personnel from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, violation of these Terms, or infringement of any third‑party rights.

12. Third‑Party Links

Our Services may contain links to third‑party websites or services. We are not responsible for their content, privacy practices, or terms. Access them at your own risk.

13. Modifications to Terms

We may revise these Terms from time to time. Material changes will be notified via email or a prominent notice on our website. Your continued use after the effective date constitutes acceptance of the updated Terms. If you disagree, you must stop using the Services.

14. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in San Francisco, CA, in accordance with the rules of the American Arbitration Association. You waive the right to participate in class actions.

15. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. Our failure to enforce a right does not waive that right. These Terms constitute the entire agreement between you and AK8 AI regarding the Services, superseding any prior agreements.
